Terms of service
Last updated: October 2026
These terms apply when you use Leadworks UK's advertising and lead generation services. Please read them before you sign up. By agreeing to a proposal from us or paying our first invoice, you accept these terms.
1. About us
Leadworks UK is the trading name of Sam Clifton, a sole trader based in Manchester, United Kingdom (“we”, “us”, “our”). You can contact us at sam@leadworksuk.com.
Our services are for businesses only. By using them, you confirm you are acting for the purposes of your trade or business (“you”, “your”).
2. Your proposal
Before we start, we'll send you a proposal setting out the services, fees and any setup fee agreed for your business. The proposal and these terms together form our agreement. If anything in your proposal differs from these terms, the proposal takes priority.
3. Our services
Depending on your proposal, our services may include:
- planning, building and managing Facebook and Instagram (Meta) advertising campaigns;
- creating ad copy and creative, using photos and videos you provide;
- setting up lead forms and sending new enquiries to you;
- automated follow-up messages to the people who enquire; and
- regular reporting on how your campaigns are performing.
We'll carry out our services with reasonable skill and care.
4. Your responsibilities
To help your campaigns work, you agree to:
- give us the access we need, such as to your Facebook Page, Instagram account and Meta ad account;
- provide accurate information about your business, prices and service area;
- only supply photos, videos, logos and reviews that you own or have permission to use;
- contact new leads promptly, as quick follow-up has a big effect on results; and
- make sure your business and the claims in your ads comply with the law and with Meta's advertising policies.
5. Advertising spend
Your advertising budget is paid by you directly to Meta, using your own payment method on your own ad account. It is not included in our fees and we never collect or hold ad spend on your behalf. We'll agree a recommended budget with you, and we won't increase it without your approval.
6. Fees and payment
- Our monthly management fee is set out in your proposal and is billed monthly in advance.
- If your proposal includes a setup fee, it is payable before work begins and is non-refundable once we've started setting up your campaigns.
- Payments are taken by card or Direct Debit through our payment provider, Stripe.
- We are not currently VAT-registered, so no VAT is added to our fees. If we register in future, we'll give you at least 30 days' notice before adding VAT.
- If a payment is late, we may pause your campaigns until it's paid. We may also charge interest and compensation on late payments as allowed by the Late Payment of Commercial Debts (Interest) Act 1998.
7. Cancelling
- There is no minimum term. Our services run month to month until either of us cancels.
- You can cancel at any time by giving us 30 days' notice by email. Fees for the notice period are still payable.
- We can also end the agreement by giving you 30 days' notice, or straight away if you seriously break these terms (for example, by not paying).
- When the agreement ends, we'll pause your campaigns and remove our access to your accounts. Your ad account, Page and leads stay yours.
8. Results
We'll work hard to get you good results, but we can't guarantee a particular number of leads, enquiries or jobs. Results depend on things outside our control, including your area, your prices, competition, the season, Meta's systems and how quickly leads are followed up.
9. Your leads
Leads generated by your campaigns belong to you. We will never sell or share your leads with any other business.
10. Ownership of content
- You keep ownership of everything you supply to us, such as photos, logos and videos. You give us permission to use them to run your campaigns.
- Once you've paid for them, you own the ad creative we produce for you and can keep using it if you leave.
- We keep ownership of our own templates, processes and know-how.
- We'll only name you as a client, or share your results, with your permission.
11. Data protection
The people who enquire through your campaigns are your customers. We handle their personal information on your behalf, only to run your campaigns and pass leads to you, and in line with UK data protection law. You are responsible for how you use their details once you receive them. Our privacy policy explains how we handle personal information more generally.
12. Confidentiality
We'll both keep the other's confidential business information private, and only use it for the purposes of working together.
13. Third-party platforms
Our services rely on platforms run by other companies, including Meta (Facebook and Instagram), GoHighLevel and Stripe. We're not responsible for their outages, changes to their rules or features, ads they reject, or restrictions they place on accounts. If any of these affect your campaigns, we'll let you know and do what we reasonably can to help.
14. Our liability
- We are not liable for any loss of profit, revenue, business or opportunity, or for any indirect loss.
- Our total liability to you under or in connection with our agreement is limited to the fees you paid us in the three months before the claim arose.
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot legally be limited.
15. Changes to these terms
We may update these terms from time to time. If a change affects you, we'll email you at least 30 days before it takes effect. The latest version will always be on this page.
16. Law
These terms are governed by the law of England and Wales, and the courts of England and Wales will deal with any dispute.
